Vayva Technologies Ltd Acceptable Use Policy
This Acceptable Use Policy ("AUP") outlines the rules and restrictions governing your use of the Vayva Platform. This AUP forms part of the Terms of Service and applies to all users, merchants, and visitors of https://vayva.ng. By using the Platform, you agree to comply with this AUP. Violations may result in content removal, account suspension, or permanent termination.
You may use the Vayva Platform to: create and manage merchant storefronts for lawful B2B commerce; list, sell, and deliver products and services that comply with all applicable Nigerian laws and regulations; process payments through Paystack for legitimate commercial transactions; manage your Vayva Wallet and Dedicated Virtual Account (DVA) for business financial operations; use AI-powered features for product descriptions, customer engagement, and business analytics; manage multiple storefronts through our multi-store management tools; and access platform analytics, reports, and business intelligence tools.
You must NOT use the Vayva Platform to: engage in any activity that violates Nigerian federal, state, or local laws, including but not limited to the Criminal Code Act, the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and the NDPA 2023; sell, distribute, or promote prohibited items as defined in our Prohibited Items Policy; engage in fraudulent activities including but not limited to identity theft, fake transactions, card testing, or money laundering; circumvent or attempt to circumvent platform security measures, authentication requirements, or access controls; upload or transmit malware, viruses, ransomware, or any malicious code through the Platform; scrape, data-mine, or extract data from the Platform without prior written consent from Vayva; use the Platform to send unsolicited bulk communications (spam) or engage in phishing; impersonate any person or entity, or falsely represent your affiliation with any person or entity; interfere with or disrupt the Platform's infrastructure, other users' accounts, or Vayva's services; use AI-powered features to generate deceptive, misleading, or harmful content; or engage in any activity that infringes upon the intellectual property rights of others.
All content uploaded to the Platform (product listings, images, descriptions, marketing materials) must be: accurate and not misleading; compliant with Nigerian advertising standards and the FCCPA 2019; free from offensive, discriminatory, or hateful material; appropriately labeled for age-restricted products; and not in violation of any third-party intellectual property rights.
Vayva reserves the right to investigate and take appropriate action against violations of this AUP. Actions may include: issuing a written warning; removing or restricting non-compliant content; suspending platform access pending investigation; permanently terminating the account; reporting the violation to law enforcement or regulatory authorities (NDPC, CBN, EFCC); and pursuing civil remedies for damages. Vayva may also take enforcement action if you: provide false or misleading KYC information; fail to cooperate with a Vayva investigation; engage in any activity that Vayva reasonably believes violates these rules or harms other users, Vayva, or third parties.
Vayva exercises enforcement actions at its sole and absolute discretion. The decision to investigate, issue warnings, remove content, suspend accounts, or terminate accounts is entirely within Vayva's discretion and is not subject to external review or challenge. Vayva is under no obligation to enforce this AUP against every violator and may prioritize enforcement based on the severity of the violation, the risk to other users, and regulatory requirements. No failure or delay by Vayva in enforcing any provision of this AUP shall constitute a waiver of Vayva's right to enforce that or any other provision in the future.
You are solely responsible for all activities that occur through your account, including activities conducted by your employees, contractors, agents, or any third party you authorize to access the Platform. If your account is used to violate this AUP, you shall: indemnify and hold harmless Vayva from all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to the violation; cooperate fully with Vayva's investigation; and accept full responsibility for the violation regardless of whether you personally committed it. Vayva's decision to take or refrain from enforcement action against a violation does not relieve you of your obligations under this AUP and does not constitute Vayva's approval of the violating activity.
Vayva is under no obligation to monitor, screen, or police user-generated content or platform activities. Vayva's failure to detect, prevent, or address any violation of this AUP does not constitute a waiver of Vayva's rights under this AUP or any other agreement. The absence of enforcement against a particular violation does not establish a precedent for future violations. You acknowledge that you are solely responsible for ensuring your own compliance with this AUP and that you cannot rely on Vayva's monitoring (or lack thereof) as a basis for determining whether your activities are permissible.
If you become aware of any violation of this AUP, please report it immediately to privacy@vayva.ng or call +234 913 700 0140. Reports may be made anonymously. Vayva will investigate all reports and take appropriate action.
If you believe your account has been unfairly suspended or terminated, you may appeal by writing to legal@vayva.ng within 30 days of the action. Appeals must include: your account details, a detailed explanation of why you believe the action was unfair, and any supporting evidence. Appeals are reviewed by our compliance team within 14 business days. The compliance team's decision on appeal is final and binding. Vayva does not accept further appeals beyond this internal review process. You retain your right to seek judicial remedy through the courts of Lagos State, Nigeria, as provided in the Terms of Service.
Vayva may update this AUP from time to time. Material changes will be communicated at least 30 days before taking effect. Non-material changes (including clarifications, additions to prohibited activities lists, and updates reflecting new regulatory requirements) may take effect immediately upon posting. Your continued use of the Platform after changes take effect constitutes acceptance of the updated AUP.
