Vayva Technologies Ltd End User License Agreement
This End User License Agreement ("EULA") governs your use of the Vayva mobile application and any associated desktop software (collectively, the "Software") provided by Vayva Technologies Ltd (BN9089966), 19 Princess Bola Kazem, Shangisha, Lagos, Nigeria. By downloading, installing, or using the Software, you agree to the terms of this EULA. If you do not agree, do not install or use the Software.
Subject to your compliance with this EULA and the Terms of Service, Vayva grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software solely for your personal or internal business purposes on devices that you own or control. This license does not grant you the right to sublicense, distribute, or make the Software available to third parties.
You may NOT: copy, modify, or distribute the Software or any part thereof; reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; create derivative works based on the Software; rent, lease, lend, sell, or sublicense the Software; remove, alter, or obscure any proprietary notices, labels, or marks on the Software; use the Software for any purpose that violates Nigerian law or the Terms of Service; or use the Software to transmit malware, spam, or other harmful content.
The Software is licensed, not sold. Vayva Technologies Ltd retains all right, title, and interest in and to the Software, including all intellectual property rights (copyright, trademark, trade secret, and patent rights). This EULA does not transfer any intellectual property rights to you. All third-party open-source components are subject to their respective licenses.
Vayva may release updates, patches, and new versions of the Software. You agree to install updates in a timely manner to maintain security and functionality. Vayva is not obligated to provide continued support or updates for any particular version of the Software. Automatic updates may be enabled by default and can be managed through your device settings.
The Software collects and transmits data to Vayva servers as described in our Privacy Policy. This includes usage data, device information, and transaction data necessary for Platform operation. By using the Software, you consent to this data collection and processing.
This EULA is effective until terminated. Vayva may terminate this EULA immediately if you breach any term. Upon termination, you must cease all use of the Software and destroy all copies.
You agree to comply with all applicable Nigerian export control laws and regulations. You may not export, re-export, or transfer the Software to any prohibited destination, entity, or person without appropriate government authorizations.
The following provisions survive termination of this EULA: Section 2 (License Restrictions), Section 3 (Intellectual Property), Section 7 (Limitation of Liability), Section 9 (Export Compliance), and Section 11 (Governing Law).
No failure or delay by Vayva in exercising any right under this EULA shall constitute a waiver of that right.
If any provision of this EULA is held to be unenforceable, the remaining provisions shall remain in full force and effect.
This EULA is governed by the laws of the Federal Republic of Nigeria.
